NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING RELATIVE TO THE FREE METHOD OF ENTRY DESCRIBED BELOW. VOID IN NEW YORK, FLORIDA, QUEBEC, AND WHERE PROHIBITED BY LAW.

1. Sponsor

The Sponsor of this promotion (the "Promotion") is Highside Lab LLC, a Tennessee limited liability company, PO Box 103, Estill Springs, TN 37330 ("Sponsor").

2. Promotion Period

The Promotion begins Sunday, September 20, 2026 at 7:00:00 PM Eastern Time ("ET") and ends Sunday, November 15, 2026 at 11:59:59 PM ET (the "Promotion Period"). Sponsor's server clock is the official timekeeper. Entries received before or after the Promotion Period are void.

3. Eligibility

Open only to legal residents of: (a) the fifty (50) United States and the District of Columbia, EXCLUDING RESIDENTS OF NEW YORK AND FLORIDA; and (b) Canada, EXCLUDING RESIDENTS OF QUEBEC, who are at least eighteen (18) years of age (or the age of majority in their state, territory, or province of residence, whichever is older) at the time of entry, and who hold a valid driver's license or government-issued identification. Employees, officers, and members of Sponsor and its affiliates, and the immediate family and household members of each, are not eligible. Void in New York, Florida, Quebec, and where prohibited by law.

Canadian Entrants: If the potential winner is a resident of Canada, he/she will be required to correctly answer, without assistance of any kind (including calculators or other aids) and within a five (5) minute time limit, a time-limited mathematical skill-testing question administered by Sponsor, as a mandatory condition of being awarded the Prize.

4. How to Enter

(a) Entry with Purchase. Each five dollars ($5.00 USD) spent on qualifying merchandise at highsidelab.com during the Promotion Period (excluding taxes, shipping, and gift cards) earns one (1) entry, credited to the email address on the order. Entries for each item are calculated by dividing the item price in U.S. dollars by $5.00 and rounding up to the next whole entry. Certain designated "Entry Pack" products earn a fixed number of entries as stated on the product listing at time of purchase. Sponsor may from time to time offer bonus entry promotions (for example, multiplier events), which are announced on the website and apply to purchases made during the stated promotion period.

(b) Alternate Method of Entry (AMOE), No Purchase Necessary. Hand-print your full legal name, complete street address (no P.O. boxes), city, state/province, ZIP/postal code, date of birth, phone number, and email address on a 3"x5" card and mail it in a hand-addressed, stamped #10 envelope to: Highside Lab LLC, Giveaway #003 AMOE, PO Box 103, Estill Springs, TN 37330. Each compliant card, mailed in a separate outer envelope, earns one (1) entry.

Limit: There is no limit on the number of AMOE entries a person may submit during the Promotion Period. Each mail-in entry must be submitted in its own separate outer envelope (one card per envelope); bulk or multi-card envelopes will be counted as a single entry. Must be postmarked during the Promotion Period and received no later than November 20, 2026.

(c) All entries, however obtained, are combined into a single pool with equal odds of winning.

5. Prize

One (1) Grand Prize: a 2019 Ducati Monster 821 motorcycle, matte black, VIN ZDMMACLS2KB004270, approximately 1,200 miles. Approximate Retail Value ("ARV"): $10,755 USD, per JD Power/NADA Average Retail Value appraisal. Actual value may vary based on condition, market, and location.

Delivery, U.S. Winners: Sponsor will arrange door-to-door shipping within the 48 contiguous United States at no cost to the winner. Winners in Alaska or Hawaii may be responsible for additional freight.

Delivery, Canadian Winners: Sponsor will arrange shipping to a mutually agreed Canadian border point or customs broker at no cost to the winner. The winner is solely responsible for all import duties, taxes (including GST/HST), Registrar of Imported Vehicles (RIV) fees, and provincial registration, inspection, and insurance costs and requirements necessary to import and register the vehicle in Canada. Sponsor will provide reasonable paperwork support (title, bill of sale, recall clearance documentation) but is not responsible for import outcomes, delays, or costs.

Title Transfer: Upon verification of the winner, Sponsor will execute a Bill of Sale and transfer clear title to the winner. Once the vehicle is delivered and the Bill of Lading is signed, all risk of loss or damage passes to the winner.

Winner is solely responsible for all applicable taxes, title/registration fees, licensing, and insurance. No cash equivalent. Prize is non-transferable. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable.

6. Odds

Odds of winning depend on the total number of eligible entries received during the Promotion Period.

7. Winner Selection and Notification

One (1) potential winner will be selected by random drawing from all eligible entries on or about November 24, 2026. The potential winner will be notified by email and/or phone and must respond within seventy-two (72) hours. The potential winner must execute and return an Affidavit of Eligibility, Liability Release, and (where lawful) Publicity Release, and provide a completed IRS Form W-9 (or applicable Canadian tax documentation for Canadian winners), within fourteen (14) days of receipt. If the potential winner is a resident of Canada, he/she must also correctly answer the skill-testing question described in Section 3 as a condition of receiving the Prize. Failure to respond or comply results in disqualification and selection of an alternate winner.

8. Taxes

Winner is solely responsible for all federal, state, provincial, and local taxes. Sponsor will issue an IRS Form 1099-MISC to U.S. winners if required by law.

9. Publicity

Except where prohibited, acceptance of the Prize constitutes consent to Sponsor's use of the winner's name, likeness, voice, city/state or province of residence, and Prize information for promotional purposes without further payment.

10. General Conditions

Sponsor may cancel, suspend, or modify the Promotion if fraud, technical failure, or any other factor impairs its integrity, and may award the Prize from entries received prior to such action. Sponsor may disqualify anyone who tampers with entry or violates these rules. Script/bot-generated entries are void. Sponsor is not responsible for lost, late, misdirected, or postage-due mail, or technical/network/human errors affecting entries.

11. Limitation of Liability

By participating, entrants release and hold harmless Sponsor, its members, officers, employees, and agents from any claim arising from participation or from receipt, use, or misuse of the Prize, including claims arising from operation of a motor vehicle, to the fullest extent permitted by law. THE WINNER ASSUMES ALL RISK ASSOCIATED WITH OWNERSHIP AND OPERATION OF THE PRIZE MOTORCYCLE.

12. Disputes / Governing Law

This Promotion is governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Except where prohibited by law, disputes are resolved individually, without class action, exclusively in the state or federal courts located in Tennessee. Where Canadian federal or provincial law mandatorily applies to residents of Canada, it applies to them.

13. Privacy

Entry information is subject to Sponsor's Privacy Policy at highsidelab.com, used to administer the Promotion and, where consent is given, for marketing communications.

14. Winners List

For the winner's name and state or province of residence, send a self-addressed stamped envelope to the AMOE address in Section 4(b), Attn: Giveaway #003 Winners List, for receipt by December 31, 2026.

15. Void Where Prohibited

This Promotion is void in New York, Florida, Quebec, and wherever else prohibited or restricted by law.

16. No Affiliation

This Promotion is in no way sponsored, endorsed, administered by, or associated with Meta Platforms, Inc., Facebook, Instagram, TikTok, or any other social media platform. Entrants release each such platform from any liability related to the Promotion. Ducati and Monster are trademarks of their respective owners. Sponsor is not affiliated with, sponsored by, or endorsed by Ducati Motor Holding S.p.A.
